1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Roam ("Company," "we," "us," or "our") concerning your access to and use of the Roam car rental management platform and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Roam provides a cloud-based Software as a Service (SaaS) platform designed for car rental businesses to:

  • Manage vehicle fleet inventory and availability
  • Process customer bookings and reservations
  • Handle payment processing and invoicing
  • Manage customer relationships and communications
  • Generate reports and analytics
  • Customize branding and domain settings
  • Manage multiple office locations and team members

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. By registering, you represent and warrant that you meet these requirements.

3.2 Account Creation

To access certain features, you must create an account by providing accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring your account information remains accurate and up-to-date

3.3 Business Accounts

If you register on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms. The business entity will be responsible for all activities under the account.

4. Subscription Plans and Pricing

4.1 Subscription Tiers

We offer multiple subscription plans (Starter, Growth, Enterprise) with varying features, capacity limits, and pricing. Current pricing and plan details are available on our website.

4.2 Billing and Payment

  • Subscription fees are billed monthly or annually in advance
  • All fees are non-refundable except as required by law or expressly stated in these Terms
  • You authorize us to charge your payment method for all fees incurred
  • Failure to pay may result in suspension or termination of your account
  • You are responsible for all taxes associated with your subscription

4.3 Price Changes

We reserve the right to modify subscription pricing with 30 days' notice. Price changes will apply to subsequent billing cycles. Continued use of the Services after price changes constitutes acceptance of the new pricing.

4.4 Free Trial

We may offer a free trial period for new accounts. At the end of the trial, your account will be automatically charged unless you cancel before the trial ends. We reserve the right to modify or cancel free trial offers at any time.

5. Acceptable Use Policy

You agree not to use the Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit harmful, fraudulent, or illegal content
  • Interfere with or disrupt the Services or servers
  • Attempt to gain unauthorized access to any part of the Services
  • Use automated systems (bots, scrapers) without our written permission
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Remove or modify any proprietary notices or labels
  • Use the Services to compete with us or develop competing products
  • Upload viruses, malware, or other malicious code
  • Harass, abuse, or harm other users
  • Impersonate any person or entity
  • Collect or store personal data about other users without consent

6. Data and Content Ownership

6.1 Your Data

You retain all ownership rights to the data you upload to the Services ("Customer Data"), including vehicle information, booking records, customer details, and business information. You grant us a limited license to use, store, and process Customer Data solely to provide the Services.

6.2 Data Responsibilities

You are responsible for:

  • The accuracy, quality, and legality of Customer Data
  • Obtaining necessary consents to collect and process customer information
  • Complying with applicable data protection laws (GDPR, CCPA, etc.)
  • Maintaining appropriate backups of critical data

6.3 Our Intellectual Property

The Services, including all software, designs, text, graphics, logos, and other content, are owned by Roam and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6.4 Feedback

Any feedback, suggestions, or ideas you provide about the Services become our property, and we may use them without obligation or compensation to you.

7. Multi-Tenant Architecture and Data Isolation

Our platform uses a multi-tenant architecture where multiple rental businesses share the same infrastructure while maintaining complete data isolation. We implement technical and organizational measures to ensure:

  • Your data is logically separated from other tenants
  • No tenant can access another tenant's data
  • Role-based access controls within your organization
  • Audit logging of all data access and modifications

8. Payment Processing

Our platform facilitates payment processing for rental bookings through third-party payment processors. You acknowledge that:

  • Payment processing is subject to the terms of our payment partners
  • We are not responsible for payment processor errors or failures
  • Transaction fees may apply as specified in your subscription plan
  • You must comply with payment card industry (PCI) standards
  • Chargebacks and disputes are handled according to payment processor policies
  • You are responsible for all taxes on rental transactions

9. Service Level and Availability

9.1 Uptime

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.

9.2 Support

Support levels vary by subscription plan:

  • Starter: Email support during business hours
  • Growth & Enterprise: Priority support with faster response times

9.3 Modifications

We may modify, update, or discontinue features of the Services at any time. We will provide reasonable notice for significant changes that materially affect functionality.

10. Termination

10.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period. No refunds will be provided for partial billing periods.

10.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay subscription fees
  • Engage in fraudulent or illegal activities
  • Pose a security risk to the Services or other users

10.3 Effect of Termination

Upon termination:

  • Your access to the Services will cease immediately
  • You will have 30 days to export your Customer Data
  • After 30 days, we may delete your Customer Data
  • Outstanding fees remain due and payable
  • Provisions that should survive termination will remain in effect

11. Disclaimers and Limitations of Liability

11.1 Service Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROAM SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or data loss
  • Third-party actions or content
  • Unauthorized access to your account or data

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11.3 Rental Business Responsibility

You acknowledge that Roam is a software platform provider and not a car rental operator. You are solely responsible for:

  • Your rental business operations and customer relationships
  • Vehicle maintenance, insurance, and safety
  • Compliance with rental industry regulations and licensing
  • Customer disputes and liability claims
  • Accuracy of pricing, availability, and vehicle information

12. Indemnification

You agree to indemnify, defend, and hold harmless Roam, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your Customer Data or rental business operations
  • Your rental transactions and customer relationships

13. Dispute Resolution

13.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us to attempt to resolve any disputes informally.

13.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

13.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis and waive any right to participate in class actions or representative proceedings.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Roam is registered, without regard to conflict of law principles. Any legal action must be brought in the courts of that jurisdiction.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Services. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services and cancel your account.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Roam regarding the Services.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, or internet service failures.
